In the commercial building market, the sweetest temptation is news of properties listed below market value. Looking at the gleaming exterior, it may seem as though one is about to seize wealth immediately, but the real battle is decided in the unseen underground mechanical rooms and the crevices of the rooftop. If you take maintenance issues lightly when purchasing a building, the joy of buying cheaply can quickly turn into a nightmare.


The Secret Counterattack of a Building That Looks Fine on the Outside but Is Ruined on the Inside

Unlike apartments, the repair costs for building defects are on a completely different level. Mechanical parking garages and parking towers, which are notorious minefields, can cost hundreds of millions of won for a complete replacement if the system stops working immediately after acquisition. An even greater disaster is the mass eviction of tenants who pack their bags in anger after being unable to park during the repair period.

Sudden summer downpours are also fearsome assassins. If leaks begin due to microscopic cracks in the exterior walls or the collapse of the rooftop waterproofing layer, the tenant must even shoulder the liability for compensating for the flooding of their expensive equipment. To prevent such a disaster and safely take over the building, you must check the following items before signing the contract.  

First, the warranty liability clause must be wisely negotiated. Unconditionally accepting a "transfer as is" clause—which stipulates that the property will be taken over in its current state without future liability—carries excessive risk. Of course, it is realistically difficult to secure a special clause from the seller requiring repairs for major defects within six months to a year following the final payment. Therefore, the best course of action is to find a property that does not contain this problematic clause if possible; however, if it is included, it is necessary to negotiate with the seller to adjust the warranty period or the scope of liability, at least partially.


Next, you must thoroughly review the repair and maintenance expense records. You should request the seller to provide details of repair and maintenance expenditures for the past three to five years. If the recent records are excessively clean, it is a strong sign that the seller is passing the buck to the next person by making only stopgap measures without properly fixing the property, with the intention of selling it off.


Finally, you must conduct a physical due diligence by experts. You should not make the mistake of skipping expert diagnosis out of desperation over the tens of millions of won inspection fee, only to end up spending tens of times that amount on repairs after the acquisition. The truly smart investment strategy is to bring in a specialized building engineering firm before signing the contract to identify hidden structural flaws in advance, and then use this as leverage to confidently negotiate a lower purchase price.
